Experts Only – Terms & Conditions for Consulting & Coaching Services

Welcome to Experts Only, an elite business consulting and coaching firm that provides high-level strategy, execution, and growth acceleration for industry leaders. By engaging in our coaching and consulting services, you agree to the following Terms & Conditions, which define the expectations, responsibilities, and legal obligations of both Experts Only and the client.
01. Definitions
For the purposes of this agreement, the following terms apply:
-“Company” refers to Experts Only and its affiliated entities.
-“Client” refers to any individual or business entity enrolling in Experts Only consulting or coaching services.
-“Program” refers to any coaching session, consulting engagement, VIP retainer, group coaching, or digital product provided by Experts Only.
-“Confidential Information” refers to proprietary materials, strategies, templates, frameworks, or client data shared within the program.
02. Scope of Services
2.1 Consulting & Coaching Programs
-Experts Only provides business consulting, strategy coaching, and implementation services designed to optimize growth, revenue, and operational efficiency.
-Our services include but are not limited to:
--Business strategy and scaling plans
--Marketing and branding consulting
--High-level sales optimization
--Systems and automation setup
--Leadership and team development
-The exact scope of services will be outlined in the client’s engagement agreement.
2.2 Client Responsibilities
-Clients must actively participate in coaching and consulting sessions, complete assigned tasks, and implement strategies to see results.
-Clients acknowledge that coaching is a collaborative process—Experts Only provides guidance, tools, and strategy, but execution remains the responsibility of the client.
03. Payment Terms & Billing
3.1 Fees & Payment Structure
-All fees for consulting and coaching services are outlined in the engagement agreement and are due prior to service delivery unless a structured payment plan is agreed upon.
-Payments may be one-time, monthly, or in installments, based on the service package selected.
3.2 Non-Refundable Policy
-All payments are final and non-refundable. Due to the nature of consulting and coaching services, refunds will not be issued once a client has accessed any program materials or coaching calls.
-If a client chooses to discontinue services early, they remain responsible for full payment of the contract amount.
3.3 Late Payments & Default
-Any late payments beyond 10 days will incur a 5% late fee per month until paid in full.
-If payment is overdue by more than 30 days, Experts Only reserves the right to pause or terminate services and may refer unpaid accounts to a collections agency.
04. Confidentiality & Intellectual Property
4.1 Confidentiality Agreement
-Both parties agree to maintain confidentiality regarding all business strategies, financial data, proprietary systems, and client-sensitive information shared during coaching or consulting engagements.
-Experts Only will not share, sell, or disclose client information to third parties.
4.2 Intellectual Property Rights
-All materials, frameworks, tools, and strategies provided by Experts Only remain the sole intellectual property of the company.
-Clients may not copy, distribute, resell, or use program materials for commercial purposes without written permission.
-Any unauthorized use of Experts Only intellectual property may result in legal action.
05. Client Results & Disclaimer
5.1 No Guaranteed Results
-While Experts Only provides proven business growth strategies, individual results vary based on client industry, effort, and external market conditions.
-Experts Only makes no guarantees regarding revenue increases, profitability, or specific business outcomes.
5.2 Client Commitment
-Clients acknowledge that business growth requires action, implementation, and decision-making.
-Experts Only is not responsible for a lack of results due to client inaction, delays, or incomplete implementation.
06. Referral Program & Incentives
6.1 Referral Eligibility
-Clients who refer other high-level business owners may be eligible for VIP referral rewards.
-Referral incentives include cash rewards, service credits, or access to exclusive events, as outlined in the referral program.
6.2 Referral Terms
-Referrals must be pre-approved by Experts Only to ensure alignment with our ideal client profile.
-Referral rewards are only issued once the referred client officially enrolls and completes their first payment.
07. Cancellation & Termination Policy
7.1 Termination by Experts Only
Experts Only reserves the right to terminate services if:
-The client violates confidentiality agreements or misuses proprietary content.
-The client fails to make payments on time.
-The client engages in unethical or disruptive behavior within coaching sessions or group environments.
7.2 Client-Initiated Cancellation
-Clients who wish to cancel early must submit a written notice 30 days in advance.
-No refunds or partial credits will be issued for unused coaching or consulting time.
08. Testimonials, Reviews & Marketing Consent
8.1 Testimonial Usage
-Clients agree that positive feedback, success stories, and testimonials may be used for marketing and promotional purposes.
-If a client prefers to remain anonymous, they must submit a written request.
8.2 Google & Public Reviews
-Experts Only does not solicit fake reviews and only values authentic client experiences.
-Clients may be invited to share their journey as part of the Experts Only Hall of Experts™ showcase.
09. Dispute Resolution & Liability Limitations
9.1 Governing Law
-These terms are governed by the laws of [Insert Jurisdiction].
-Any disputes must first be attempted to be resolved via mediation before legal action is pursued.
9.2 Limitation of Liability
-Experts Only is not liable for any business losses, indirect damages, or financial decisions made by the client.
-Clients agree that all business decisions remain their sole responsibility.
10. Modifications & Agreement Updates
10.1 Changes to Terms
-Experts Only reserves the right to update these terms at any time.
-Clients will be notified of significant changes via email or official communication channels.
10.2 Acceptance of Terms
-By enrolling in Experts Only coaching or consulting services, clients agree to all terms stated above and acknowledge that participation is subject to these conditions.
